EULA - End User License Agreement

End User Licence Agreement

1. Under this End User License Agreement (the 'Agreement'), Coderely (the 'Vendor') grants to the user (the 'Licensee') a non-exclusive license (the 'License') to use The Webplayer (the 'Software').

2. 'Software' includes the executable computer programs and any related files that may accompany the product.

3. Title, copyright, intellectual property rights and distribution rights of the Software remain exclusively with the Vendor. Intellectual property rights include the look and feel of the Software. This Agreement constitutes a license for use only and is not in any way a transfer of ownership rights to the Software.

4. The Software may not be modified, reverse-engineered, or de-compiled in any manner through current or future available technologies.

5. Failure to comply with any of the terms under the License section will be considered a material breach of this Agreement.

6. MAINTENANCE SUPPORT

Licensor will provide to Licensee the following support with respect to the Software:
If the Licensee notifies Licensor of a substantial program error respecting the Software, or Licensor has reason to believe that error exists in the Software and so notifies Licensee, Licensor shall verify and attempt to correct such error.

7. WARRANTY DISCLAIMER

CODERELY licenses, and Licensee accepts, the licensed programs 'AS IS.' CODERELY PROVIDES NO WARRANTIES AS TO THE FUNCTION OR USE OF THE LICENSED PROGRAMS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE LICENSED PROGRAM IS WITH LICENSEE. LICENSOR DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE LICENSED PROGRAMS WILL MEET LICENSEE'S REQUIREMENTS OR THAT THE OPERATION OF THE
LICENSED PROGRAMS WILL BE UNINTERRUPTED OR ERROR FREE.

8. LIMITATION OF LIABILITY

CODERELY's LIABILITY TO LICENSEE UNDER ANY PROVISIONS OF THIS AGREEMENT FOR DAMAGES FINALLY AWARDED SHALL BE LIMITED TO THE AMOUNTS ACTUALLY PAID HEREUNDER BY LICENSEE TO CODERELY. IN NO EVENT SHALL CODERELY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR INTERRUPTION OF BUSINESS, HOWEVER CAUSED OR ON ANY THEORY OF LIABILITY.
